These Terms of Service (“Terms”) govern access to and use of nOS AI Assistant (nosassistant.org, the “Service”), operated by nOS LLC (“nOS,” “we,” or “us”). By creating an account or otherwise accessing the Service, you and the school or organization you represent (“you”) agree to be bound by these Terms. If you do not agree, do not access or use the Service.
1. What the Service is
The Service is a read-only assistant that answers plain-English questions about a school’s master schedule, drawing on data you connect through a read-only SIS link or upload directly. The Service does not build, optimize, or write back to a school’s schedule or SIS — it understands, compares, simulates, and exports; it never mutates source-of-record systems.
2. Accounts and use of the Service
2.1 Eligibility and accounts
Accounts are single-organization and invite-controlled: the person who signs up becomes the account owner and may invite additional members from their school. You are responsible for the accuracy of information you provide and for maintaining the confidentiality of your credentials.
2.2 Permitted use
You may use the Service solely for your own school’s internal administrative purposes. You must not, and must not permit others using your account to: (a) upload or transmit malicious code or attempt unauthorized access to the Service or its systems; (b) resell, sublicense, or make the Service available to third parties outside your organization; (c) reverse engineer, decompile, or attempt to derive source code from the Service; (d) use the Service to build a competing product; or (e) use the Service for any illegal purpose or in violation of applicable law, including uploading data you are not authorized to share.
2.3 Data you submit
You represent that you have the right to submit the school data you connect or upload, and that doing so complies with your school’s policies and applicable law, including FERPA. The Service needs only scheduling data — please do not submit health, financial, disciplinary, or grade records; they are not required for any feature. How we handle data you submit is described in our Privacy Policy.
3. Plans, billing, and cancellation
The Service is offered on Free, Plus, and Pro plans. Free includes three chats per monthly cycle in either Fast or Thinking; Thinking requires a verified email. Paid plans have monthly credit allowances. Current pricing and allowances are published at nosassistant.org/pricing. Plus and Pro are annual subscriptions billed in advance through Stripe and renew automatically at the then-current price unless cancelled. You may cancel at any time from Settings → Billing (the Stripe customer portal); cancellation stops the next renewal but does not refund the current paid term, except where required by law or where we materially fail to deliver the Service. Unlimited access is granted only by nOS, is not self-serve, and is never auto-downgraded except by nOS.
We may adjust pricing or plan allowances for future terms with reasonable advance notice. Continued use of the Service after a price change takes effect constitutes acceptance of the revised pricing for your next renewal.
4. Intellectual property
The Service, including all software, models, features, and documentation, is the proprietary property of nOS and is protected by applicable intellectual property laws. You have no ownership rights in or to the Service. You retain full ownership of the school data you submit; you grant nOS a limited license to process that data solely to provide the Service, as described in our Privacy Policy.
5. Availability and support
We use commercially reasonable efforts to keep the Service available, but do not guarantee uninterrupted or error-free operation. Support requests can be sent to bennettmiller@nosplanner.com.
6. Disclaimer of warranties
The Service is provided “as is” and “as available” without warranties of any kind, express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. The Service is an AI assistant; its answers may be incomplete or wrong, and you are responsible for verifying anything before relying on it for a decision.
7. Limitation of liability
To the maximum extent permitted by law, nOS will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with these Terms or your use of the Service. nOS’s total liability for all claims arising under these Terms will not exceed the total fees you paid to nOS in the twelve (12) months preceding the claim.
8. Indemnification
You agree to defend, indemnify, and hold harmless nOS and its officers, directors, employees, and agents from claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising from: (a) your breach of these Terms; (b) misuse of the Service by you or your organization’s users; or (c) data you submit that violates applicable law or a third party’s rights.
9. Termination
You may stop using the Service and cancel your subscription at any time as described in Section 3. We may suspend or terminate access for a material breach of these Terms that is not cured within thirty (30) days of notice, or immediately for conduct that poses a security or legal risk to the Service or other users. Account deletion and data handling on termination are described in our Privacy Policy.
10. Governing law
These Terms are governed by the laws of the State of North Carolina, without regard to conflict of laws principles. Disputes arising under these Terms will be resolved exclusively in the state or federal courts located in Wake County, North Carolina, and each party consents to the personal jurisdiction of those courts.
11. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated with reasonable advance notice. Continued use of the Service after the effective date of updated Terms constitutes acceptance of the revised Terms.
